These Terms of Service ("Terms") govern your access to and use of the Balancer Trade platform, website, and related services (collectively, the "Service") operated by Balancer Trade LLC, a company registered in the State of New York, USA. Balancer Trade provides decentralized finance protocol tools, including smart portfolio management and liquidity pool aggregation. The Service is offered subject to your acceptance without modification of all terms contained herein and all other operating rules, policies, and procedures that may be published from time to time.
By creating an account, accessing any part of the Service, or interacting with our smart contracts, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you are using the Service on behalf of an entity, you represent and warrant that you have authority to bind that entity.
We reserve the right to update or modify these Terms at any time. Material changes will be notified via the Service or email. Continued use after changes constitutes acceptance of the revised Terms.

Balancer Trade offers a non-custodial DeFi protocol enabling users to create and manage smart portfolios, provide liquidity to pools, and swap tokens. The Service operates on blockchain networks and relies on smart contracts. We do not hold, store, or control your digital assets at any time. All transactions are executed on-chain and are irreversible.
We provide the platform "as is" and do not guarantee the accuracy, completeness, or timeliness of any data, pricing, or analytics displayed. Users are solely responsible for their own decisions and for understanding the risks associated with DeFi activities.

The Service, including its original content, features, functionality, branding, logos, and software, is owned by Balancer Trade LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Balancer Trade name, logo, and related marks are proprietary trademarks.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Service without our prior written consent. All rights not expressly granted are reserved.
Any feedback, suggestions, or ideas you submit about the Service become our property and may be used without compensation or attribution.
You retain ownership of any content, data, or information you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant Balancer Trade a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of operating, improving, and providing the Service. You represent that you have all necessary rights to grant this license.
We do not claim ownership of your digital assets, private keys, or wallet addresses. You are solely responsible for the security of your private keys and for any transactions initiated from your wallet.
Using the Balancer Trade protocol may involve network transaction fees (gas fees) paid to blockchain validators. These fees are not controlled by Balancer Trade and are non-refundable. We may charge service fees for certain features, such as premium analytics or priority pool access. All applicable fees will be disclosed before you confirm a transaction.
We reserve the right to modify fee structures with reasonable notice. You are responsible for all taxes arising from your use of the Service. Balancer Trade does not provide tax advice.
The Service may contain links to third-party websites, protocols, or applications that are not owned or controlled by Balancer Trade. We are not responsible for the content, privacy practices, or security of any third-party services. Your interactions with third parties are solely between you and them. We recommend reviewing their terms and policies before engaging.
Balancer Trade may integrate with external decentralized exchanges, oracles, and liquidity sources. We do not guarantee the availability, accuracy, or reliability of any third-party data or services.
Risk Disclosure: DeFi protocols, including Balancer Trade, involve substantial risk. The value of digital assets can be highly volatile. Past performance does not guarantee future results. You may lose all or part of your invested capital. Smart contract vulnerabilities, market manipulation, regulatory changes, and technological failures are inherent risks. You should only use funds you can afford to lose.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
To the fullest extent permitted by applicable law, Balancer Trade LLC, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or alteration of your transmissions or data; (iii) any conduct or content of any third party on the Service; (iv) any smart contract failure, exploit, or vulnerability; or (v) any other matter relating to the Service.
Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of one hundred US dollars ($100) or the amount you have paid us in the twelve months preceding the event giving rise to the liability. This limitation applies regardless of the legal theory under which liability is asserted, whether in contract, tort, negligence, or otherwise.
You acknowledge that blockchain transactions are irreversible and that Balancer Trade has no ability to reverse, cancel, or modify any transaction that has been broadcast to the network. We are not responsible for losses resulting from user error, such as sending funds to an incorrect address, incorrect network selection, or loss of private keys.
You agree to indemnify, defend, and hold harmless Balancer Trade LLC, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any rights of a third party, including intellectual property or privacy rights; or (d) any breach of your representations and warranties contained herein.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
You may terminate your account at any time by discontinuing use of the Service and contacting us. Termination does not relieve you of obligations incurred prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration in New York City, New York, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single neutral arbitrator. Each party shall bear its own costs and fees, except that the arbitrator may award reasonable attorneys' fees to the prevailing party.
You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one year after such claim or cause of action arose, or be permanently barred. This limitation does not apply to claims that cannot be limited by applicable law.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
These Terms, together with our Privacy Policy, Cookie Policy, and any additional terms incorporated by reference, constitute the entire agreement between you and Balancer Trade LLC regarding your use of the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written. No modification of these Terms shall be effective unless in writing and signed by an authorized representative of Balancer Trade LLC.

Nothing in these Terms limits your rights under New York law, including any protections afforded to consumers under New York General Business Law or other applicable statutes. If any provision conflicts with New York law, the law shall prevail to the extent of the conflict.
Balancer Trade LLC shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, pandemic, network or blockchain congestion, smart contract vulnerabilities, or failure of third-party infrastructure. In such events, performance shall be suspended for the duration of the force majeure event, and we will use reasonable efforts to resume performance as soon as practicable.
Balancer Trade relies on smart contracts deployed on public blockchain networks. Smart contracts are experimental, may contain bugs, vulnerabilities, or flaws, and may be subject to exploits, hacks, or attacks. You acknowledge and assume all risks associated with interacting with smart contracts, including total loss of funds. We do not guarantee the security, functionality, or availability of any smart contract deployed by us or third parties.
You are responsible for verifying the correctness and safety of any smart contract you interact with. Balancer Trade may upgrade, modify, or deprecate protocols or contracts from time to time. Such changes may affect your positions, liquidity, or ability to transact. We will use reasonable efforts to notify users of material changes via our website or social channels, but we are not liable for losses resulting from protocol upgrades or deprecations.
The Service may utilize price oracles and external data feeds to determine asset prices, interest rates, or other metrics. These oracles may be subject to manipulation, delay, inaccuracy, or failure. Balancer Trade does not guarantee the accuracy, timeliness, or reliability of any data provided through oracles. You acknowledge that reliance on oracle data carries inherent risk and that we are not responsible for any losses resulting from oracle malfunction or manipulation.
Providing liquidity to Balancer pools involves risk of impermanent loss, where the value of your deposited assets may decrease relative to holding them outside the pool. Impermanent loss can be significant, especially in volatile markets. You should fully understand the mechanics of automated market makers before providing liquidity. We do not guarantee any minimum returns or protection against impermanent loss. Past pool performance does not predict future results.
You are solely responsible for determining and fulfilling any tax obligations that may arise from your use of the Service, including but not limited to income, capital gains, value-added, or transaction taxes. Balancer Trade does not provide tax advice. We recommend consulting a qualified tax professional regarding your specific circumstances. We may be required by law to report certain transactions to tax authorities and you consent to such reporting.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region that is subject to comprehensive U.S. trade sanctions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. You agree not to use the Service in violation of any applicable export control or sanctions laws. Balancer Trade reserves the right to block access from sanctioned jurisdictions or persons.
Balancer Trade is a software platform and does not act as a fiduciary, financial advisor, broker, or investment manager. Nothing on the Service constitutes investment, legal, or tax advice. All decisions to use the protocol, provide liquidity, or trade assets are your own. We do not recommend or endorse any particular strategy, asset, or pool. You should conduct your own due diligence and consult independent advisors before engaging in DeFi activities.
We may provide notices to you via email, in-app notifications, or by posting on our website. You consent to receive electronic communications and agree that such communications satisfy any legal requirement that communications be in writing. It is your responsibility to keep your contact information current. Notices sent to the email address associated with your account shall be deemed received 24 hours after sending.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Balancer Trade LLC may assign these Terms freely, in whole or in part, without your consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void. These Terms shall be binding upon and inure to the benefit of the parties and their permitted successors and assigns.
You agree that by clicking "I Agree" or similar buttons, or by using the Service after receiving notice of updated Terms, you are entering into a legally binding agreement electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by these Terms. To the extent permitted by applicable law, you waive any rights or requirements under any statutes, regulations, or laws requiring an original signature, delivery, or retention of non-electronic records.
Blockchain-based transactions may require signing messages with your private key. Such cryptographic signatures are binding and constitute your agreement to the terms of the transaction. You are solely responsible for the security of your signing keys and for any actions taken with them.
We retain your personal data and transaction history as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. Specific retention periods are detailed in our Privacy Policy. Upon termination of your account, we will delete or anonymize your personal data within 90 days, except where retention is required by law or for legitimate business purposes such as fraud prevention.
Blockchain transaction data is immutable and cannot be deleted. We are not responsible for the permanent public record of transactions on the blockchain. You acknowledge that on-chain activity associated with your wallet address is publicly visible and permanent.
From time to time, Balancer Trade may offer beta features, experimental pools, or pilot services ("Beta Features"). Beta Features are provided "as is" with no warranties, and may contain bugs, errors, or incomplete functionality. We may modify or discontinue Beta Features at any time without notice. Your participation in Beta Features is voluntary and at your own risk. We may ask for feedback, and you grant us the right to use any feedback without compensation.
Beta Features may have additional terms posted at the point of access. By using Beta Features, you agree to those additional terms. We are not liable for any losses arising from Beta Features, including total loss of funds.
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, network congestion, blockchain issues, or events beyond our control. We are not liable for any losses resulting from service unavailability, including missed trading opportunities or inability to withdraw funds.
We reserve the right to suspend, modify, or discontinue any part of the Service at any time with or without notice. In the event of permanent discontinuation, we will use reasonable efforts to allow users to withdraw their funds from pools within a reasonable timeframe.
It is your responsibility to ensure that your use of the Service complies with all applicable laws, regulations, and regulatory requirements in your jurisdiction. Balancer Trade makes no representation that the Service is appropriate or available for use in any particular location. Users accessing the Service from jurisdictions where it is prohibited do so at their own risk and are solely responsible for compliance with local laws.
If you access the Service from New York, USA, you acknowledge that virtual currency activities may be subject to regulation by the New York State Department of Financial Services (NYSDFS) and the U.S. Securities and Exchange Commission (SEC). You are responsible for understanding and complying with any licensing, registration, or reporting requirements that may apply to your activities.
Balancer Trade does not own, control, or operate any blockchain network that the Service interacts with. We make no warranties regarding the availability, security, or performance of any underlying blockchain, including Ethereum, Polygon, Arbitrum, or others. Blockchain networks may experience congestion, forks, reorganizations, or attacks that could affect your transactions or assets. We are not liable for any losses resulting from blockchain network conditions or failures.
You acknowledge that transaction finality on blockchain networks is probabilistic and may be reversed under certain conditions. We are not responsible for transactions that are reorganized, reverted, or fail to confirm. You assume all risks associated with blockchain network latency, throughput limitations, and potential chain reorganizations.
Balancer Trade is a non-custodial platform. We do not hold, store, or have access to your private keys, seed phrases, or wallet passwords. You are solely responsible for safeguarding your wallet credentials. Loss or compromise of your private keys may result in permanent loss of access to your funds and assets. We cannot recover your wallet or reverse transactions made from your wallet.
We recommend using hardware wallets or other secure storage solutions. You should never share your private keys or seed phrases with anyone, including Balancer Trade personnel. Any request for your private keys is a scam. We are not liable for any losses resulting from the compromise of your wallet credentials.
Balancer Trade LLC may be required to report certain information to regulatory authorities, including but not limited to the Financial Crimes Enforcement Network (FinCEN), the Securities and Exchange Commission (SEC), and the Internal Revenue Service (IRS). You consent to such reporting as required by applicable law. We may also be required to freeze or seize assets, block transactions, or deny service to comply with legal orders or regulatory directives.
We reserve the right to cooperate fully with law enforcement and regulatory authorities in any investigation of suspected illegal activity. You agree not to hold us liable for any actions taken in compliance with legal obligations, including the disclosure of your information to authorities.
Deposits, tokens, or assets held in Balancer Trade pools or contracts are not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other governmental or private insurance program. You understand that you bear full risk of loss, including total loss, of any assets you provide to the protocol. No insurance coverage exists for losses due to smart contract failure, market volatility, or any other cause.
Some third-party protocols may offer insurance or coverage; Balancer Trade does not endorse or guarantee any such products. You are responsible for evaluating and obtaining any insurance you deem necessary.
Balancer Trade may list tokens and create pools based on various criteria. Listing does not constitute an endorsement or recommendation of any token, project, or asset. We do not verify the accuracy or completeness of information provided by token issuers. Pools created by users or third parties are not vetted by Balancer Trade. You assume all risks associated with trading or providing liquidity to any pool, including pools with unaudited or suspicious tokens.
We reserve the right to remove or delist tokens, pause pools, or restrict trading at our sole discretion, including in response to security concerns, regulatory requirements, or community feedback. We are not liable for losses resulting from delisting or pool restrictions.
In the event of a blockchain fork, Balancer Trade may or may not support the forked network at our discretion. We are not obligated to support any fork or to facilitate claims of forked tokens. Any decisions regarding fork support will be communicated via our official channels. We are not liable for any losses or missed opportunities related to forks or airdrops.
You acknowledge that airdrops or token distributions to Balancer Trade protocol users may have tax implications and may be subject to regulatory restrictions. We do not facilitate or endorse any airdrop and are not responsible for its delivery, value, or legality.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed reformed to the extent necessary to make it valid and enforceable while preserving the original intent of the parties.
This section does not apply to the limitation of liability or governing law provisions, which are fundamental to the agreement. If those provisions are found invalid, the entire Terms may be deemed void at our discretion.
Section headings in these Terms are for convenience only and have no legal or contractual effect. Words importing the singular include the plural and vice versa, and words importing any gender include all genders. References to "including" or "such as" are to be construed as illustrative and not limiting. The terms "shall" and "must" denote mandatory requirements, while "may" denotes permission.
These Terms have been negotiated by the parties and shall not be construed against the drafter. Any rule of construction that ambiguities are resolved against the drafting party is waived. The parties acknowledge that they have had the opportunity to consult legal counsel in understanding these Terms.
Except as expressly provided in these Terms, no person or entity other than you and Balancer Trade LLC is intended to be a third-party beneficiary of these Terms. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Balancer Trade. You may not represent yourself as an agent, partner, or representative of Balancer Trade without our prior written consent.
Smart contract protocols, liquidity providers, token issuers, and other users of the Service are not third-party beneficiaries of these Terms. Any claims arising from interactions with third parties must be pursued directly against those parties.
These Terms are originally drafted in English. Any translations provided are for convenience only and may not accurately reflect the original meaning. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail. By using the Service, you confirm that you have sufficient proficiency in English to understand these Terms.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, limitation of liability, governing law, dispute resolution, and any other provisions that are intended to remain in effect after termination. Termination does not relieve you of any obligations incurred prior to termination.
Your obligations to pay any fees incurred before termination shall survive. Balancer Trade's rights to investigate and pursue claims for violations of these Terms that occurred prior to termination shall also survive.
We reserve the right to refuse service to any person or entity for any reason or no reason, at our sole discretion. This includes the right to block wallet addresses, IP addresses, or geographic regions from accessing the Service. We may also limit, suspend, or terminate access to specific features or pools without prior notice. We are not liable for any losses resulting from such actions, including inability to withdraw funds during a suspension period.
Any refusal of service will be conducted in compliance with applicable law and our internal policies. We will not discriminate on the basis of race, color, religion, gender, sexual orientation, national origin, age, disability, or any other protected characteristic under New York or federal law.
Our Service uses cookies and similar tracking technologies as described in our Cookie Policy. By using the Service, you consent to our use of cookies in accordance with that policy. You may adjust your browser settings to reject cookies, but this may affect the functionality of the Service. We are not responsible for any loss of functionality resulting from cookie rejection.
We may use analytics providers that collect anonymous usage data. This data is used to improve the Service and is not linked to your identity unless you voluntarily provide it. Third-party cookies may be placed by our partners for analytics or marketing purposes, subject to your consent where required by law.
Any dispute arising under these Terms shall be conducted in English. All proceedings, including arbitration, shall be conducted in English, and all documents submitted shall be in English or accompanied by a certified English translation. In the event of any discrepancy between a translated version and the English version of any document, the English version shall control.
The parties waive any objection to proceedings conducted in English, including any claim that such proceedings are inconvenient or that translations are inadequate. Each party bears the cost of its own translations unless otherwise ordered by the arbitrator or court.
Balancer Trade LLC reserves the right to amend, modify, or update these Terms at any time. Material changes will be communicated via email to registered users, through in-app notifications, or by posting a prominent notice on our website at least 14 days before the effective date, except where changes are required by law or to address immediate security concerns, in which case shorter notice may be given. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
We encourage you to review these Terms periodically. The date of the most recent revision is indicated at the top of this document. If you do not agree to any modification, you must stop using the Service and close your account before the changes take effect. Modifications are not retroactive unless required by law.
These Terms, together with the Privacy Policy, Cookie Policy, and any additional terms specifically referenced herein, constitute the entire agreement between you and Balancer Trade LLC regarding the Service. They supersede all prior or contemporaneous agreements, understandings, representations, and communications, whether written or oral. In the event of any conflict between these Terms and any other document, these Terms shall prevail unless expressly stated otherwise.
Additional terms may apply to specific features, promotions, or third-party integrations. Those additional terms will be presented at the point of access and are incorporated by reference. If there is a conflict between these Terms and any additional terms, the additional terms shall govern with respect to that specific feature or service.
To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Balancer Trade LLC. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.
You also waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Service. This waiver applies to the fullest extent permitted by law and is knowing, voluntary, and intentional. If the class action waiver is found unenforceable, then the entirety of the arbitration agreement shall be null and void.
Balancer Trade LLC shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, embargoes, government actions, pandemics, earthquakes, floods, fires, network or blockchain congestion, smart contract vulnerabilities, cyberattacks, power outages, or failure of third-party infrastructure. In such events, performance shall be suspended for the duration of the force majeure event, and we will use reasonable efforts to resume performance as soon as practicable.
We are not responsible for any losses resulting from service interruptions, including inability to trade, withdraw funds, or access account information during periods of downtime. We recommend that you maintain offline records of your transactions and wallet addresses.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any term shall be effective unless in writing and signed by an authorized representative of Balancer Trade LLC. A waiver of any breach shall not constitute a waiver of any subsequent breach, whether of the same or a different provision. Any delay or omission in exercising any right shall not impair the exercise of that right at a later time.
The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law. Nothing in these Terms limits any rights we may have under applicable law to seek injunctive relief or other equitable remedies.
